These Terms of Service ("Terms") govern your access to and use of the Whiss website, platform, and related services provided by Whiss, LLC ("Whiss," "we," "us," or "our").
By accessing or using Whiss, you agree to these Terms.
1. The Whiss Service
Whiss provides software that helps organizations collect, manage, organize, and evaluate vendor information, documents, and compliance requirements.
Whiss currently focuses on vendor compliance and insurance information and may expand its services over time.
2. Accounts
Customers are responsible for maintaining accurate account information and protecting their account credentials.
Customers are responsible for activity occurring through their accounts.
3. Customer Responsibilities
You agree to:
Use Whiss lawfully.
Provide accurate information.
Upload or submit only information you have the right to use.
Maintain appropriate permissions for information concerning your vendors.
Configure reasonable and accurate compliance requirements.
Use Whiss only for legitimate business purposes.
Comply with applicable laws and regulations.
4. Vendor Information
Customers may use Whiss to request information and documents from vendors.
Customers are responsible for determining which information and documents their vendors must provide.
Whiss provides workflow and information-management tools but does not independently determine the legal, contractual, regulatory, or insurance requirements applicable to a customer's vendors.
5. Compliance Information
Whiss may extract information from submitted documents and compare that information against requirements configured by the customer.
Whiss does not provide insurance, legal, accounting, regulatory, or risk-management advice.
A compliance status displayed by Whiss does not constitute a representation or guarantee that a vendor is legally or contractually qualified to perform work.
Customers remain responsible for their final compliance and vendor-qualification decisions.
6. Customer Data
Customers retain their rights in Customer Data they submit to Whiss.
Customers grant Whiss the limited rights necessary to host, process, transmit, analyze, and otherwise use Customer Data to provide, secure, maintain, and improve the services.
Whiss may use aggregated or de-identified information for legitimate business purposes provided that it does not identify the customer or an individual.
7. Intellectual Property
Whiss and its licensors retain all rights in the Whiss platform, software, technology, trademarks, designs, documentation, and related intellectual property.
These Terms do not transfer ownership of Whiss intellectual property to customers.
8. Third-Party Services
Whiss may rely on third-party services and infrastructure to provide portions of the platform.
Third-party services may have their own terms and policies.
Whiss is not responsible for failures caused solely by third-party services outside Whiss's reasonable control.
9. Fees and Billing
If you purchase a paid Whiss subscription, you agree to pay the applicable fees described at the time of purchase.
Unless otherwise stated, subscriptions automatically renew until canceled.
Taxes and other applicable charges may apply.
Specific refund or cancellation terms may be provided in your order, subscription, or agreement with Whiss.
10. Availability
We work to provide reliable service, but we do not guarantee that Whiss will always be available, uninterrupted, secure, or error-free.
11. Prohibited Uses
You may not use Whiss to:
Violate applicable law.
Infringe another party's rights.
Upload malicious code.
Attempt unauthorized access.
Interfere with the operation of Whiss.
Abuse or misuse the platform or its communication features.
Use the platform for fraudulent or deceptive purposes.
12. Suspension and Termination
Whiss may suspend or terminate access when reasonably necessary to protect the platform, users, or third parties; address violations of these Terms; comply with law; or address security or abuse concerns.
Customers may cancel their use of the service in accordance with their applicable subscription terms.
13. Disclaimer
To the fullest extent permitted by law, Whiss is provided on an "as is" and "as available" basis.
Whiss does not guarantee that information extracted from documents or compliance determinations will always be complete, accurate, or error-free.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Whiss will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to use of the services.
Any additional limitations of liability applicable to a paid subscription or customer agreement will be outlined in the applicable agreement.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Whiss and its officers, employees, and agents from claims arising from your unlawful use of the services, violation of these Terms, or infringement of another party's rights.
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
17. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date.
18. Privacy
Whiss's collection and use of information is described in the Whiss Privacy Policy.
